Rules and Regulations:

Participation in the Activity will be construed as an acceptance of the rules and regulations stated herein. If you do not agree to these rules and regulations, please do not participate in this Activity.

  1. No Purchase Required and there is no charge or fee to enter the Activity. Participation in the Activity is voluntary. The Activity is open for participation from June 1 to June 20, 2009 (“Activity Period”). To enter the Activity,  go to www.bloombergutv.com/tyop (“Website”), fill in the Activity application form (“Form”), and submit the requested materials and documents. Incomplete Form/s shall be summarily rejected. Forms/documents containing false/misleading information shall also be summarily rejected. Upon any such rejection, re-submitting of the Form is strictly prohibited. Activity is open for participation to small businesses that employ 100 or fewer individual employees or individual independent contractors (full or part-time) duly registered and headquartered only in India. No government or quasi-governmental entities or instrumentalities of the State may enter. Entrants shall have to endure that they are under no bar or restriction of any kind to enter into the Activity. Person submitting application on behalf of an entrant must be an Indian citizen residing in India and an officer or other authorized representative (such as a member of the Board of directors) of the entrant. Businesses chosen to advance to the National Final round of judging described in section [5] will be required to verify the annual revenue submitted in their Form. Finalists must submit by specified date or shall be disqualified. A non-disclosure agreement (NDA) will be provided to ensure privacy of financial data.

  2. Entrant will be required to demonstrate how the company has used information technology (IT) to deliver superior customer experience. They must 1) describe the innovative ways they use IT in their business to better serve customers (20% of score); 2) show how it has led to significant improvements in the experience of their customers (40% of score); 3) show how they use IT to better manage business operations (15% of score); 4) show how the innovative use of IT has affected the success of the business i.e. growth, profitability, cost reductions (15% of score); 5) tell how the company's use of IT creates a competitive advantage (10% of score). The judging panels made up of entrepreneurs, small-business experts and representatives from bloombergUTV, Dell and its partners will select up to 10 National Finalists and one National Winner, and one Global Winner.

  3. Form submissions must be complete on or before 11:59 p.m. of June 20, 2009. All entries become the exclusive and perpetual property of bloombergUTV and Dell and will not be acknowledged or returned. Judges’ decisions are final and binding on all the entrants and winners.

  4. In order to advance to the National Finals, the top 30 to 50 entries, determined by bloombergUTV, Dell and their other partners, will be required to submit three customer testimonials and annual revenues as certified by the statutory auditors of the entrant or a recognized and qualified Chartered Accountant for the past fiscal year. The additional information will aid in the Nationals Finalist and National Winner judging sessions. Testimonials and 2009 revenues for the past fiscal year must be received between June 1 and June 20, 2009. The National Finalists will be notified by email or phone by 5th July and announced on bloombergUTV. The National Winner will be notified by email or phone by September 2009 and announced publicly on bloombergUTV. (Note: individuals are not winners or finalists, only eligible companies as set forth in Rule 1.) The Global Award Winner will be announced during Fall 2009. All winners will be contacted only once (either through phone or e-mail) during business hours in the contact co-ordinates provided by them.

  5. Judging Process and Prizes: Prize will be awarded based on the results of three (3) phases of judging. PHASE ONE: National Finalist judging panel will determine up to 10 Finalists  to be considered for National Winner Award. PHASE TWO: The second phase of judging will determine the National Winner. The National Winner panel of judges will review the applications, testimonials, and revenue data as stipulated above for each National Finalist and determine a National Winner. The National Winner will receive $25,000 ( Twenty Five Thousand USD only) in technology and services from Dell to be used in the Winner's existing business. Presented as a credit to be used for up to $15,000 in Dell Small-Business products only at Dell on-line prices at time of purchase prior to Oct. 31, 2010, as well as Dell professional services based on Dell's assessment of customer's business needs (up to a maximum $10,000 at standard Dell rates) used prior to Oct. 31, 2010. The Prize cannot be exchanged or redeemed for cash or anything else under any circumstances. The National Winner if selected as the Global Winner shall need to forfeit $25,000 technology award for the Global Award value. PHASE THREE: The third phase of judging will determine the Global Winner. The Global Winner panel of judges will review the applications, testimonials, and revenue data as stipulated herein for National Winner of each country and determine a Global Winner. The Global Winner will be featured in a global entrepreneur's summit, including conference time with Michael Dell, subject to his availability. Dell will make arrangements for the company owner plus one staff person to travel to the summit (location to be announced). Up to two nights of lodging, meals, ground and air transportation will be paid for by Dell (average value of summit travel package is between $4,000 and $8,000, dependant on air travel costs). In addition, the Global Winner will receive $50,000 in technology and services from Dell to be used in Winner's business. Presented as a credit to be used for up to $30,000 in Dell Small-Business products only at Dell on-line prices at time of purchase prior to Oct. 31, 2010, as well as Dell professional services based on Dell's assessment of customer's business needs (up to a maximum $20,000 at standard Dell rates) used prior to Oct. 31, 2010. Finally, the Global Winner will receive a lifetime membership to the International Council for Small Business (ICSB) and engagement with Endeavor's network of business leaders and high-impact entrepreneurs in emerging markets worldwide. This membership cannot be exchanged for any cash amount under any circumstances and the winner must abide by any regulations or terms of membership imposed by ICSB. (Global prize value is approximately $70,000).  Winner's technology and services purchases from Dell must be used in Winner's business; Dell reserves the right to limit Winner's technology and services choices to those that can be used in Winner's business.

  6.  bloombergUTV (UTV News Limited), Dell, and other sponsors assume no responsibility for lost, stolen, delayed, damaged or misdirected entries or for any failure of the website during the Activity Period, for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, access providers, computer equipment, software, failure of any e-mail or entry to be received by bloombergUTV/ Dell on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof including any injury or damage to an entrant's or any other person's computer related to or resulting from entering or down loading any material in connection with this Activity. bloombergUTV and/or Dell, reserve the right, in their sole discretion to cancel or suspend this Activity for any reason whatsoever and also should a virus, bug or other cause beyond the reasonable control of bloombergUTV/ Dell corrupt the security or proper administration of the Activity. Any attempt to deliberately damage any web site or to undermine the legitimate operation of this promotion is a violation of criminal, civil and tort laws, and should such an attempt be made, bloombergUTV/ Dell reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

  7. The 10 National Finalists may be featured as a part of a special television series produced by bloombergUTV and bloombergUTV shall have the right to use it in any manner and medium deemed fit by it. In the event no such special television series is produced by bloombergUTV, the 10 National Finalists shall not have be able to bring any claim against bloombergUTV.  All entrants, National Finalists and National Winner consent to the use of entrant's name and logo and entrant materials (with the exception of confidential financial information) in publicity, advertising and promotional materials for bloombergUTV and Dell  without further compensation, and agree to cause entrant principals to appear, by name and photograph, in such materials. Submission of an entry further constitutes the entrant's irrevocable assignment and transfer to bloombergUTV and Dell to publish and exploit the submission in any and all media worldwide whether existing or invented in the future, without limitation and without compensation to the entrant, and entrant may or may not be attributed as the source of the entry material. bloombergUTV and Dell retains the exclusive right to use, adapt and change the contributions of the entrants, in whole or in part or create episodes/programs at the discretion of bloombergUTV/ Dell, including dubbing, and to combine the materials with other works. bloombergUTV/ Dell may vend, copy, publish, reproduce, record, transmit, broadcast or telecast by radio, television or computer, perform, photograph with or without sound including without limitation, spoken words, dialogue, and music synchronously recorded and to communicate the entrant materials in whole or in part by any means now known or later devised, including, without limitation, through home video exhibitions, foreign exhibitions, theatrical and non-theatrical exhibitions in supplemental markets for all other exploitation now known or later devised, including without limitation the creation of  foreign, interactive, computer, video games and other versions and the exploitation of any ancillary rights, including without limitation, merchandising rights. These performances / contributions shall include, without limitation, performing all such activities as directed by bloombergUTV and which shall  include, without limitation, on-air appearances, commentary, print/television/radio/web interviews, promotional spots, and other pre- and post-production activities, and providing  publicity sessions, personal appearances at press conferences, television and radio interviews, events, photo shoots and related activities and still photography sessions in connection with the marketing and promotion of the Activity, bloombergUTV at such places or forms as maybe required by bloombergUTV from time to time; and any and all other services that bloombergUTV reasonably requests in connection with the Activity and/or bloombergUTV in general. The National Finalists shall report and be available to render such performances and contribution at all times and places bloombergUTV may require in connection with the shooting of episodes of a television programme with them, and they shall comply with the bloombergUTV’s instructions and regulations in all matters at all times. The performances / activities / contributions shall be pursuant to the direction and control of bloombergUTV and/or its independent contractors and are subject to bloombergUTV’s final approval. The days for marketing and promotion will be confirmed in advance. Appearances shall be at such times and places as specifically specified and reasonably required by bloombergUTV and the same shall be strictly followed by the National Finalists. The entrants, Ten Finalists shall not charge anything for any of the activities as mentioned above.

  8. The Prize will be awarded pursuant to these Official Rules. All taxes, levies and duties due and owing under applicable statutory laws and incidental costs, if any as may be applicable in connection with the Prizes, will be the sole responsibility of the Prizewinners.

  9. The entrants agree that any and all disputes, claims and causes of action arising out of, or connected with participation, the Activity or the National Prize awarded shall be resolved amicable failing which failing which the same shall be referred to arbitration to a single arbitrator appointed by bloombergUTV under the provisions of the Arbitration and Conciliation Act, 1996 or any of its subsequent amendments. The arbitration proceedings shall be in English. The venue of Arbitration Proceedings shall be Mumbai only. All costs and expenses of the Arbitration shall be borne by such Party in such manner as awarded by the sole arbitrator. The final decision/award of the sole arbitrator shall be final and binding on both the Parties. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s, winner’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Activity, shall be governed by, and construed in accordance with, the applicable laws of India, without giving effect to any choice of law or conflict of law rules and the competent courts in Mumbai shall have the exclusive jurisdiction.

  10. bloombergUTV/ Dell reserves the rights to discontinue the Activity at any time and/or change, amend, extend, withdraw and/or alter any of the terms & conditions of this Activity at anytime without prior notice/intimation or giving any reason and it is the sole responsibility of the entrants to keep themselves up to date about the changed rules and regulations of the Activity.
